All payment terms are detailed in individual project agreements. The following general terms apply unless otherwise agreed in writing:
Payments can be made via bank transfer, PayPal, Wise, or other methods agreed upon at the time of engagement.
Upon receipt of full payment, the client will own all rights to the final deliverables specifically created for their project. The following exceptions and clarifications apply:
Until full payment is received, Naisa Digital retains all rights to the work produced, and the client may not use or distribute any deliverables.

Delays caused by the client's failure to fulfil these responsibilities may result in project timeline extensions and additional charges at the agreed hourly rate.
Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This includes but is not limited to business plans, financial information, technical specifications, and client data.
Naisa Digital will not disclose any confidential client information to third parties without prior written consent, except as required by law.
This confidentiality obligation survives the termination of any project agreement. If you require a formal Non-Disclosure Agreement (NDA), please request one before project commencement.

Naisa Digital will communicate any timeline changes promptly and work collaboratively to minimise delays. We are not liable for losses arising from delivery delays caused by circumstances outside our control.
To the fullest extent permitted by applicable law, Naisa Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
In no event shall Naisa Digital's total liability to you exceed the total fees paid by you for the specific service giving rise to the claim in the three months preceding the claim.
Important: Naisa Digital is not responsible for website downtime, data loss, or security breaches caused by third-party hosting providers, platforms (WordPress, Shopify, etc.), or external factors beyond our control.
Either party may terminate a project agreement with written notice. The following terms apply upon termination:
Naisa Digital provides a 30-day bug-fix warranty on all completed projects. During this period, we will fix any technical issues directly related to our work at no additional cost.
This warranty does not cover:
Beyond the 30-day warranty period, ongoing maintenance and support are available under a separate maintenance agreement.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of law provisions.
Any disputes arising from these terms or any project agreement shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Fayette County, Georgia, in accordance with the American Arbitration Association's rules.
Naisa Digital reserves the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date.
